1. Agreement
These Terms govern your use of the ShunyaX Console platform (“the Service”) operated by ShunyaX Private Limited, Mumbai, India. By creating an account or using the Service you agree to these Terms and to our Privacy Policy. If you use the Service for an organisation, you confirm you are authorised to bind it.
2. The Service
The Console provides business tools including WhatsApp AI automation, a website chat widget, Meta Ads management and compliance auditing, AI reel/video generation (Reel Forge), blog and social content generation and publishing, a WordPress campaign plugin, and a client dashboard. Features may be added, changed, or removed over time.
3. Accounts & eligibility
You must be 18 or older and use the Service for lawful business purposes. You are responsible for the accuracy of your account information, for keeping your credentials and API token secure, and for all activity under your account.
4. Acceptable use
You agree not to use the Service to: send spam or unsolicited messages; message people who have not consented to hear from you; scrape, reverse-engineer, or overload the platform; publish unlawful, infringing, deceptive, or harmful content; or violate the terms and policies of connected platforms (Meta/WhatsApp, Instagram, YouTube, X, LinkedIn, Google, Razorpay). You are solely responsible for the content you generate and publish and for obtaining any consents required from your contacts.
5. Your data & responsibilities
You retain ownership of the content and knowledge-base material you provide. You are the controller of your End Users’ personal data; we act as your processor as described in the Privacy Policy. You warrant that you have the legal basis and consents to collect and message the contacts you use with the Service, and to publish the content you generate.
6. Credits, billing & payments
The Service is offered on subscription plans and/or usage-based credits. Fees are shown on our Pricing page and are exclusive of applicable taxes (including GST). Payments are processed by Razorpay. Consumed credits and AI usage are non-refundable. We may change pricing on notice; changes do not affect the current paid term.
7. AI-generated content
Content produced by the Service (text, images, video, audio, ad rewrites, compliance scores) is generated by AI models and provided “as is”. It may contain errors and must be reviewed by you before use or publication. A compliance audit is guidance only and is not a guarantee that any platform (e.g. Meta) will approve an ad. You are responsible for how you use AI outputs.
8. Third-party services
The Service integrates with third-party platforms governed by their own terms. We are not responsible for their availability, changes, pricing, or actions (including account restrictions they impose on you). Your use of those integrations is at your own risk and subject to their policies.
9. Intellectual property
ShunyaX owns the platform, software, and brand. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You keep the rights to your own content and grant us only the licence needed to operate the Service for you.
10. Suspension & termination
We may suspend or terminate access for breach of these Terms, non-payment, or misuse that risks the platform or a connected provider. You may cancel at any time; see Data Deletion for what happens to your data.
11. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, to the extent permitted by law. We do not warrant uninterrupted or error-free operation, or any specific business result.
12. Limitation of liability
To the maximum extent permitted by law, ShunyaX is not liable for indirect, incidental, or consequential losses, or loss of profits, data, or goodwill. Our total liability for any claim is limited to the fees you paid for the Service in the three months before the claim arose.
13. Indemnity
You agree to indemnify ShunyaX against claims arising from your content, your use of the Service, your messaging of contacts, or your breach of these Terms or of a connected platform’s policies.
14. Governing law
These Terms are governed by the laws of India. The courts of Mumbai, Maharashtra have exclusive jurisdiction, subject to applicable law.
